Terms of Service

These Terms of Service (the “Terms”) are an agreement between you and The Profit System LLC (“The Profit System”, “we”, “us”). They cover the website www.theprofitsystem.com and The Profit System CRM, including your CRM at its own theprofitsystem.com address (together, the “Service”). By starting a trial, buying a plan or using the Service, you agree to these Terms. If you use the Service for a business, you agree on behalf of that business.

1. The Service

The Profit System is a CRM for small businesses: an inbox for email and website chat, contacts, pipelines, booking pages, follow-up sequences, a dashboard and the other features described on our Features and Pricing pages. Features marked “coming soon” are not part of your plan until they are released, and we do not promise a date for them. We may improve, change or remove features over time. If we remove a core feature you pay for, we will tell you first.

2. Your account

  • You must be at least 18 years old and able to enter a contract.
  • You log in with your Whop account. Keep that login safe; you are responsible for what happens under it.
  • You are responsible for the people you invite to your account and for what they do in it.
  • Tell us right away at support@theprofitsystem.com if you think someone has used your account without permission.

3. Plans, free trial and billing

  • Plans are sold and billed through Whop. Your receipts, renewals and plan changes are in your Whop account.
  • New plans start with a 14-day free trial. Whop asks for a payment method at checkout. Nothing is charged during the trial. If you do not cancel before the trial ends, the plan price is charged when it ends.
  • Plans renew automatically each month or each year, depending on the billing period you picked, until you cancel.
  • Prices are in US dollars and do not include taxes unless stated. If we change a price, we will tell you at least 30 days before it applies to your next renewal.
  • Each plan has limits (users, brands, contacts, marketing emails and more) shown on the Pricing page. If you go over a limit, we will contact you about a bigger plan or an add-on.

4. Cancelling

You can cancel any time in your Whop account, or write to support@theprofitsystem.com and we will do it for you. Cancelling stops the next renewal. You keep access until the end of the period you already paid for. Paid periods are not prorated.

5. Refunds

Refunds are handled under our Refund and Cancellation Policy.

6. Acceptable use

You agree not to use the Service to:

  • send spam, or send marketing email, text messages or other messages to people who have not agreed to receive them;
  • break any law that applies to your messages, including the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), phone carrier rules for business texting, and the privacy and anti-spam laws of the places your contacts live;
  • upload or send anything unlawful, deceptive, harassing, hateful, or that infringes someone else’s rights;
  • upload contact lists you bought, rented or scraped;
  • try to break, overload, probe or get around the security of the Service, or access other customers’ data;
  • resell or rent the Service to others without our written permission.

You are responsible for getting and keeping the consent you need from your contacts, honouring opt-outs, and including the details the law requires (for example, your postal address in marketing emails). The Service gives you tools for this, such as unsubscribe handling and suppression lists, but compliance is your responsibility. We may pause sending, or suspend an account, if we see spam complaints, high bounce rates or other signs of misuse, and we will tell you why.

7. Your data

  • You own your data. Everything you and your team put into the CRM (contacts, conversations, deals, notes, bookings and the like) stays yours.
  • You give us permission to store, process and send that data only as needed to run the Service for you, keep it secure and support you.
  • We do not sell your data and we do not use it to advertise to your contacts.
  • Export: you can export your data as CSV or JSON from Settings at any time.
  • After you cancel: we keep your data for 30 days after your plan ends, so you can come back or ask us for an export. After that we delete it.
  • For data about your contacts, you are in charge of it and we process it on your behalf. A data processing agreement (DPA) is available on request at support@theprofitsystem.com.

8. Subprocessors

We use these service providers to run the Service. Each one only gets the data it needs for its job:

  • Cloudflare: hosting, the database and file storage for the site and the CRM.
  • Whop: checkout, billing, receipts and the login to your account.
  • Amazon Web Services (Amazon SES): sending email from the CRM, when email sending is switched on for your account.
  • Twilio: sending and receiving text messages (SMS), which are coming soon, once SMS is switched on for your account.

If we add or replace a subprocessor, we will update this list.

9. Availability

We work hard to keep the Service running and your data safe, but we do not offer a service level agreement (SLA) or guarantee that the Service will always be available, error free or uninterrupted. We may need to pause it for maintenance, and services we rely on (such as hosting, Whop, email or SMS providers) can have outages of their own.

10. Other services

The Service works with services run by other companies, such as Whop and, where you connect them, email, SMS or social media providers. Your use of those services is covered by their own terms, and we are not responsible for them.

11. Our property

The Service, its software, design and content (other than your data) belong to The Profit System LLC. These Terms give you the right to use the Service while your plan is active; they do not give you ownership of it. If you send us ideas or feedback, we may use them without owing you anything.

12. No guarantees

The Service is a tool. It is provided “as is” and “as available”. To the extent the law allows, we make no promises beyond those written in these Terms, including any promise about sales, income or other business results.

13. Limitation of liability

To the extent the law allows: (a) we are not liable for lost profits, lost revenue, lost data or any indirect, incidental, special or consequential damages; and (b) our total liability for any claim about the Service is limited to the amount you paid us for the Service in the 12 months before the claim. Some places do not allow these limits, so they may not all apply to you.

14. Your responsibility to us

If a claim is brought against us because of your data, your messages to your contacts, or your breach of these Terms or the law, you agree to cover our reasonable costs of dealing with it.

15. Suspension and ending

We may suspend or close an account that breaks these Terms, puts other customers or the Service at risk, or is not paid. Where we reasonably can, we will warn you first and give you a chance to fix the problem and to export your data.

16. Changes to these Terms

We may update these Terms. If a change is significant, we will tell you by email or in the Service before it takes effect. If you keep using the Service after that, the new Terms apply. If you do not agree, you can cancel.

17. Governing law

These Terms are governed by the laws of the State of [State], without regard to its conflict of law rules. Any dispute will be handled in the state or federal courts located in [State], unless the law where you live says otherwise.
